Real Estate Development, Leasing, Managing and Ownership:  Representation of developers, contractors, retailers, investment advisors and investors in all stages of acquisition, development, franchise, construction, sale, purchase and build-to-suit matters involving all types of commercial real estate, including land planning, entitlements and debt and equity financing, including public financing of various types such as government-leased properties, STAR bond and other bond financing, historical tax credits, new market tax credits and Eb-5 immigration investments.  Representation of landlords, tenants, property managers, brokers and lienholders in major commercial lease and ground lease transactions, including corporate facilities management.

Finance:  Representation of institutional and private creditors in a broad range of secured and unsecured lending transactions, including credit originations, conduit lending, debt and equity financing, participations, syndications, workouts, restructures and foreclosures.  Representation of debtors in financing and workout matters, including synthetic leases and non-judicial, consensual reorganizations.

Corporate Transactions:  Representation of private and public clients in merger and acquisition transactions.  Representation of receivers, regulators and purchasers in connection with failed financial institutions and large asset portfolio sales.

Organizational Structure and Compliance:  Representation of private and publicly traded clients in a broad range of corporate, limited liability company, partnership, joint venture, securities and REIT matters, including choice and structure of entity, formation, reorganization, restructuring, dissolution and regulatory matters.

Sports and Entertainment:  Representation of professional sports teams in development, construction, leasing and finance matters for stadiums, arenas and other sports complexes, including naming rights, signage rights, scheduling, pourage rights, concessions and personal seat licenses.  Representation of owners and investors in matters related to sports complexes, including suite and seat licenses.
